1. Definitions

2. Eligibility

• You must be at least 18 years of age to create an account and use the App.
• You represent that you have the legal capacity to enter into a binding contract under Indian law.
• You are not prohibited by any applicable law from using the App.
• All information you provide is accurate, current, and complete.

Pradeshik reserves the right to suspend or terminate accounts where eligibility cannot be verified.

3. Account Registration & Security

• Registration: Requires an Indian mobile number (+91). OTP sent via Firebase Authentication.
• Your Responsibility: You are solely responsible for your account's confidentiality. Notify us immediately at admin@pradeshik.in if you suspect unauthorised access.
• Accuracy: Keep your profile information accurate and up to date.
• One Account: Each mobile number may be associated with only one User account.
• Account Deletion: You may delete your account at any time via the app's Profile screen.

4. The Pradeshik Platform — Nature of Service

• No Ownership of Products: Pradeshik does not own, store, ship, or handle any physical products.
• Google Places Blend: Vendor profiles may include publicly available data from Google Places. Pradeshik is not responsible for the accuracy of this data.
• Listing Availability: Product listings are subject to change. A listing does not guarantee availability.

5. Premium Vendor Model — Commercial Disclosure

• FREE tier: Basic listing, standard placement in search results
• PREMIUM tier: Paid subscription providing priority placement at the top of listings
• No Endorsement: PREMIUM status does not constitute Pradeshik's endorsement of the Vendor's products or services.

6. Vendor Terms

6.1 Vendor Registration

You must provide accurate business information including business name, business phone, GSTIN, and PAN. By submitting GSTIN and PAN, you represent that you are authorised to conduct business under that GSTIN.

6.2 Vendor Obligations

• Keep product listings, prices, and stock status accurate and current
• Honour confirmed orders placed by Users at the listed price
• Not list prohibited, counterfeit, or illegal products
• Comply with applicable laws including Consumer Protection Act 2019, Legal Metrology Act, FSSAI regulations, and GST laws
• Issue valid tax invoices where required by law

6.3 Physical Inspection

Pradeshik may conduct physical inspections at its discretion. An "Inspection Done" flag does not constitute Pradeshik's guarantee or endorsement of the Vendor.

7. Orders

• Order Placement: Pradeshik facilitates communication between User and Vendor but is not a party to the transaction.
• Order Confirmation: An order is confirmed only upon acknowledgement by the Vendor. Pradeshik does not guarantee fulfilment.
• Pricing: Prices are set by Vendors. Pradeshik is not responsible for pricing errors.
• Payment: Payments are made directly between Users and Vendors. Pradeshik bears no responsibility for payment disputes.
• Disputes: Disputes regarding product quality, delivery, returns, or refunds must be resolved directly between User and Vendor.
• Cancellations & Refunds: Policies are set by individual Vendors. Pradeshik does not operate a centralised refund mechanism.

8. User Conduct

You agree not to:

• Use the App for any unlawful purpose
• Create false or misleading orders, reviews, or vendor listings
• Attempt to reverse engineer, decompile, or tamper with the App
• Use automated tools, bots, scrapers, or data mining technology on the Platform
• Interfere with or disrupt the Platform's infrastructure
• Impersonate any person, business, or entity
• Harass, threaten, or harm other Users or Vendors
• Submit content that is defamatory, obscene, discriminatory, or violates intellectual property rights

9. Prohibited Products and Services

Vendors must not list, and Users must not attempt to order:

• Narcotics or controlled substances (NDPS Act)
• Counterfeit goods or goods infringing intellectual property rights
• Weapons or explosives (Arms Act)
• Products without required regulatory approvals
• Hazardous materials not compliant with transport regulations

10. Intellectual Property

• Pradeshik's IP: All content, design, software, trademarks, logos, and technology are owned by or licensed to Pradeshik.
• Vendor/User Content: By submitting content, you grant Pradeshik a non-exclusive, royalty-free, worldwide licence to use and display that content for operating and improving the Platform.
• Google Places Data: Ratings, photos, and information from Google Places are subject to Google's Terms of Service.

11. Third-Party Services

Your use of these services is also subject to the respective third-party terms and privacy policies.

12. Disclaimers

• "As Is" Service: The App is provided on an "as is" and "as available" basis. Pradeshik disclaims all warranties to the fullest extent permitted by Indian law.
• Vendor Independence: Vendors are independent businesses. Pradeshik is not responsible for the quality, safety, or legality of products or services listed.
• Location Accuracy: Nearby vendor results depend on device GPS accuracy. Pradeshik does not guarantee all vendors within a radius will be shown.
• Verification Limitation: GSTIN and PAN verification is on a best-effort basis and does not constitute Pradeshik's guarantee of a Vendor's trustworthiness.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Pradeshik and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

Pradeshik's total aggregate liability shall not exceed INR 1,000 or the amount you paid to Pradeshik in the preceding 3 months, whichever is higher.

14. Indemnification

You agree to indemnify and hold harmless Pradeshik from claims, liabilities, damages, losses, and expenses arising out of your use of the App, your violation of these Terms, or any disputes between you and another User or Vendor.

15. Suspension and Termination

Pradeshik may suspend or terminate your access at any time if you violate these Terms, engage in fraudulent or abusive behaviour, or if required by law. You may stop using the App and request account deletion at any time via the Profile screen.

16. Governing Law

These Terms are governed by the laws of the Republic of India. The courts of Ghaziabad shall have exclusive jurisdiction over any disputes arising from these Terms.

17. Dispute Resolution

• Informal Resolution: Contact us at admin@pradeshik.in first. We will respond within 15 business days.
• Arbitration: If unresolved within 30 days, either party may refer to binding arbitration under the Arbitration and Conciliation Act, 1996, to be conducted in Ghaziabad in English.
• Consumer Rights: Nothing herein limits your rights under the Consumer Protection Act, 2019 or any other consumer protection law. You retain the right to approach a Consumer Disputes Redressal Forum.

18. Consumer Protection Compliance

Pradeshik is committed to compliance with the Consumer Protection (E-Commerce) Rules, 2020. We display vendor business details, provide a complaint mechanism, do not engage in unfair trade practices, and prominently disclose our PREMIUM vendor arrangement.

19. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and display a prominent notice in the App. Continued use after updated Terms are posted constitutes your acceptance.

20. Severability & Entire Agreement

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pradeshik regarding your use of the App.
